Conditions
Once you purchase a
product of Resell-ABTW.com you are bound to the Terms, Conditions, Policies and
Resellers Agreement set forth. All resellers will be required to sign the Resellers
Agreement Form (shown below). If you choose not to, your account will be limited
and you will not be entitled to a refund.
The content of
this site is protected by copyright pursuant to American and
International copyright laws, international conventions
and other copyright laws. The user is specifically
prohibited from modifying, publishing, transmitting,
selling, participating in the transfer or sale or
reproducing, creating derivative works from, distributing,
performing, displaying or in any way exploiting any of the
materials on Resell-ABTW.com or materials
relating there to in whole or in part without express
written permission. All trademarks
on this site are trademarks of
the respective companies and you may not use these marks
without express written permission.
Resell-ABTW
reserves the right to add to, or to change, the Terms, Conditions,
Policies and Resellers Agreement. It is your responsibility to
comply with these terms on accessing Resell-ABTW.com.
Members of Resell-ABTW will be notified of any changes to
Resell-ABTW.com.
Reseller Agreement
This
is an Agreement between you (the “Reseller”) and Sean Clark
Enterprise, a UK Company that owns Resell-ABTW.com. This
agreement explains the basis upon which transactions between
the Reseller and Resell-ABTW will take place and their responsibilities toward each other.
The
Effective Date of this agreement shall be the date that the
Reseller purchases a Resell-ABTW product.
By
entering into this Agreement, in addition to transactions entered
into by the Reseller on its own behalf, the Reseller also agrees
to be bound by the terms of this agreement for transactions
entered into on its behalf by anyone acting as its Agent. The
Reseller also agrees to be bound by the terms of this Agreement
for transactions entered into by anyone who uses the account that
the Reseller hereby establishes with Resell-ABTW, whether or not
the transactions were made on Reseller’s behalf.
Whereas
Resell-ABTW is a fully-operational Internet Leads Marketing
company; and, whereas the Reseller desires to purchase Email Leads
and other services or products that may be available from
Resell-ABTW, for purposes of reselling such Services to its own
customers.
Therefore, Resell-ABTW and the Reseller agree as follows:
1.
Services – Subject to the terms and conditions of this
Agreement, Resell-ABTW grants the Reseller a non-exclusive,
non-transferable license to resell the Services worldwide.
2.
Price
- Subject to the terms and conditions of this Agreement, the
Reseller acknowledges that all prices, discount rates and
transaction fees are subject to change.
i.
Resell-ABTW
will provide its services to the Reseller according to Resell-ABTW's
Price
Catalog (Catalog) available at:
www.Resell-ABTW.com/order.htm
ii.
The
Reseller and Resell-ABTW
reserves
the right to cancel the Reseller's subscription to Resell-ABTW.com
at anytime. The Reseller's Account and, but not limited to, The
Diamond Reseller's Web Site, will be terminated at the end of the
cancelled subscription period. Cancellation fees do not apply.
iii. Resell-ABTW reserves the right to change
the price of each product/subscription. If a price change occurs
the Reseller agrees to pay the new subscription fee or to take
advantage of section 2, ii.
iiii.
Fraudulent Transactions. The Reseller agrees to hold Resell-ABTW
unharmed and to indemnify Resell-ABTW
for and against transactions processed by the Reseller that are
fraudulent in nature. These fraudulent transactions could result
from, but are not limited to, the use of stolen or
misappropriated credit cards.
If Resell-ABTW receives a chargeback from a Reseller after
providing a service/product, the Reseller agrees to pay all
reasonable attorneys’ or collection agency’s fees, court
costs, and other collection costs in connection with Resell-ABTW
collection efforts.
3. Money
Back Guarantee & Refund Policy - Resell-ABTW
considers all sales final. Resell-ABTW
do
not offer refunds in the event of, but not limited to
losses, damages, expenses, or failure
to agree to our terms and conditions.
4. Website
& Hosting Fee - The website design fee, and yearly web-hosting fee, for the
Diamond Package shall be waived in its entirety. Resellers
web hosting account will be hosted ONLY with our Partner Company:
LoyalWebHosting.com. Both the client and RESELL-ABTW reserve the
right to access the hosting account for, but not limited to,
creating the Resellers new web site.
5. Subscription
Fee - For as
long as the Reseller remains a client of Resell-ABTW
he/she will be charged accordingly. The Reseller may cancel
his/her subscription to Resell-ABTW
at anytime. There are no cancellation fees.
6. Termination
- At the end of the
Subscription, if the Reseller chooses not to renew Resell-ABTW
services, Resell-ABTW
reserve the right to terminate their Resell-ABTW.com and
associated accounts and material.
7.
Branding - Only
Diamond Resellers of Resell-ABTW are allowed to use the co-branded
web site. Starter, Deluxe & Platinum Resellers are forbidden
to use any trademark or content of Resell-ABTW and its associated
site AdBlastTheWorld.com, unless stated otherwise.
8.
Copyright: The Reseller does not
have Master Resale Rights to Resell-ABTW.com
or its associated site AdBlastTheWorld.com. The Reseller can
resell Resell-ABTW
marketing products (opt-in leads); however Resellers cannot sell
Resale Licences to consumers, as does Resell-ABTW. The
Reseller does however have permission affiliate Resell-ABTW.com
for set commissions. The
Reseller does not have the right or permission to compete with
AdBlastTheWorld.com within PayDotCom.com, or other sites stated by
Resell-ABTW.com.
9.
Restriction of Service; Right of Refusal -
The Reseller agrees that Resell-ABTW,
in its sole discretion and without liability to the Reseller, may
terminate this Agreement for if the Reseller is found to be using Resell-ABTW
Services in association with morally objectionable
activities. Morally objectionable activities will include, but not
be limited to: activities designed to defame, embarrass, harm,
abuse, threaten, slander or harass third parties; activities
prohibited by the laws of the UK and/or foreign territories
in which the Reseller conducts business; activities designed to
encourage unlawful behaviour by others, such as hate crimes,
terrorism and child pornography; activities that are tortuous,
vulgar, obscene, invasive of the privacy of a third party,
racially, ethnically, or otherwise objectionable; activities
designed to impersonate the identity of a third party; and
activities designed to harm minors in any way. In the event Resell-ABTW
terminates this Agreement for morally objectionable activities, no
refund will be issued.
10. Privacy
– The Reseller agrees to be bound by the Privacy Policy of Resell-ABTW
in its dealings with customers and others and to post such
Privacy Policy on the Reseller’s home page. Failure to comply
with such Privacy policy will be deemed a material breach of this
Agreement.
11.
Confidentiality:
Both parties agree not to disclose the terms and conditions of
this agreement or any confidential information without the
non-disclosing party’s prior written consent.
Confidential information shall include any data, trade
secrets, know-how, including but not limited to, research,
services, partner lists, marketing, financial or other business
information, except as and to the extent such confidential
information becomes publicly known by means other than disclosure
by either party.
12. Relationship
– Resell-ABTW
and Resell-ABTW
related companies will not advertise the Reseller’s web site or
other marketing content. Each
party hereto shall be and act as an independent contractor and not
as partner, joint venturer, or agent of the other. The Reseller
acknowledges that Resell-ABTW
and Reseller are
not partners, and that neither Company or Individual can make any
representations, warranties or guarantees on behalf of the other.
13.
Non-Exclusivity -
Nothing in this Agreement shall be deemed to limit or restrict the
rights of Resell-ABTW
to license or use the product or provide the same or similar
services as provided to Reseller to any third party.
14.
Authorization -
The persons executing this Agreement on behalf of Reseller and Resell-ABTW
represent
and warrant that they are authorized by their respective parties
to enter into this Agreement and bind their companies to all the
terms and conditions of this Agreement. Once the Reseller has made
payment, the Reseller must sign and date this Agreement, and send
it to Resell-ABTW.
Failure to comply will result in limited account access, whereby
section 3 of our Terms & Conditions will take into effect.
15.
Notices –
The Reseller agrees that all notices (except for notices
concerning breach of this Agreement) from Resell-ABTW
.
to the Reseller may be posted on our web site and will be deemed
delivered within five (5) days after the posting. Notices
concerning breach of this Agreement will be sent either to the
e-mail address that the Reseller has on file with Resell-ABTW
or mailed by first class mail to the postal address that the
Reseller has on file with Resell-ABTW.
In both cases, delivery shall be deemed to have been made five (5)
days after the notice was sent. Notices from the Reseller to Resell-ABTW
should be made by e-mail, sent to the address we provide on our
web site.
16.
No Solicitation – The Reseller agrees
that it will NOT approach Resell-ABTW
employees with proposals to hire them as its own employees or
contractors. If the Reseller were to hire any of Resell-ABTW
employees, the Reseller agrees to pay Resell-ABTW
for each employee hired the greater amount of three years salary
that the Reseller is to pay such employee, or $100,000.
17.
Limited Liability – Resell-ABTW
shall not be liable under any circumstances for any special,
consequential, incidental or exemplary damages arising out of or
in any way connected with this Agreement or other services and
products the Reseller may choose, including but not limited to:
damages for lost profits, loss of use, lost data, loss of privacy,
damages to third parties. This limited liability clause shall
apply even if Resell-ABTW
has been notified of the possibility of any claims. In no event
shall Resell-ABTW
maximum liability exceed the total amount paid by the
Reseller for the service or the product. Resell-ABTW
liability is limited to the extent permitted by law in states that
do not allow the exclusion or limitation of liability for
consequential or incidental damages.
18. Modification
– This Agreement and its Attachments are subject to change. The
Reseller will be notified of such changes as they occur via the
e-mail contact supplied during the reseller signup process.
19.
Disputes:
Any action to enforce or interpret this Agreement shall be
brought and maintained exclusively in the CourtHouse of Co. Down,
UK. The
parties irrevocably submit to the jurisdiction of said court and
waive all objections thereto and the right to remove such action
to a Court. If
litigation is commenced to enforce or interpret this Agreement,
the prevailing party shall be entitled to recover its reasonable
attorney’s fees and all costs, in addition to all other items of
recovery. If this agreement is broken, breached or misused section
3 will take place.
20.
Entirety – This Agreement constitutes the entire
understanding and contract between the parties and supersedes any
an all prior and contemporaneous, oral, or written
representations, communication, understandings, and agreements
between the parties with respect to the subject matter herein.
Miscellaneous
- Resell-ABTW makes no warranty that the contents of
Resell-ABTW website is compatible with all computer systems,
browsers and or software programs. Resell-ABTW makes
no warranty that our leads products are 100% deliverable.
Nothing
in this Agreement, expressed or implied, shall be deemed to confer
any rights or remedies upon, nor obligate any of the parities
hereto, to any person or entity other than such parties, unless so
stated to the contrary.
Each of the parties, to this Agreement represents and warrants
that it has full power to enter into this Agreement and has not
assigned, encumbered, or in any manner transferred all or any
portion of the claims covered by this Agreement.
PRIVACY OF YOUR ACCOUNT
We
consider your registration data and the content of all of your
messages to be private. The header of the messages that you send
will contain your name (e-mail address) and Internet Protocol (IP)
address. We will not intentionally monitor or disclose any of your
e-mail messages or registration data unless we are required to do
so:
- to enforce these Terms and Conditions,
- by law,
- to defend us in any legal action,
- to protect our property.
Additionally, you agree to respect the privacy and confidentiality
of others. Since your password is essential for protecting your
privacy, we encourage you not to share it with anyone and change
it frequently.
Customer payment
details, such as credit cards, will not be kept on file for more than 60 days.
We do not require your shipping address, as this is a digital
product and service.
PRIVACY OF YOUR REGISTRATION DATA
Resell-ABTW
collects information during the registration process. The
personally identifiable information that Resell-ABTW
collects includes first, last name and email address. You may update your Registration Information at any
time by contacting our customer service team.
PRIVACY
You
will not receive any continual email solicitation from Resell-ABTW.com
unless you consent to. In our newsletter you can
opt-out/unsubscribe very easily at anytime, by following our
simple instructions within the newsletter.
WHY WE NEED THIS INFORMATION
Your
registration information is needed to operate the site, to provide
support for your account, for statistical purposes, etc. Resell-ABTW
will not send you any unsolicited information, including e-mail,
except as mentioned below. New Customers will receive a Resell-ABTW
welcome
letter explaining the features provided by the service. Resell-ABTW
may also send periodic member letters to announce important
service changes, new features, technical issue updates and news
about the Service. You can unsubscribe from these
letters at any time by following the opt-out instructions at the
end of each email.
Resell-ABTW
keeps
your personally identifiable information private and does not
share it with any unauthorized third parties.
